RTC Suite Terms and Conditions



These Terms and Conditions (“Terms”) govern access to and use of RTC Suite and related services provided by RTC Technology Limited (CRO Nr. 767648) (“RTC”, “we”, “our” or “us”), a company incorporated in Ireland with registered office at The View, Marina Village, Malahide, Dublin, K36 CX99, Ireland. 

By accessing or using RTC Suite, the customer, user, or entity on behalf of which the services are used (“Customer”, “you” or “your”) agrees to be bound by these Terms, together with any applicable order form, proposal, statement of work, service description, or written agreement entered into with RTC.

If you do not agree to these Terms, you must not access or use RTC Suite.

1. About RTC Suite

RTC Suite is a cloud-based software solution designed to support businesses with digital tax compliance, electronic invoicing, electronic reporting, SAF-T, VIES, e-VAT returns, and related tax technology requirements across multiple jurisdictions.

RTC Suite may include, depending on the purchased scope and applicable country coverage, functionalities for generating, converting, transmitting, receiving, monitoring, reporting, and archiving electronic documents in formats required by relevant tax authorities, including XML, UBL, or other mandatory formats.

RTC may update, enhance, modify, or discontinue certain features of RTC Suite from time to time in line with regulatory, technical, operational, or commercial requirements.

2. Scope of Services

Subject to the applicable commercial agreement, RTC may provide:

  • access to RTC Suite and selected software modules;
  • implementation, onboarding, configuration, or integration services;
  • maintenance and support services;
  • regulatory updates related to supported jurisdictions;
  • version upgrades and software improvements;
  • archiving, transmission, reporting, and monitoring services where included in the relevant service scope.

The specific services, modules, jurisdictions, transaction volumes, service levels, implementation activities, fees, and commercial terms applicable to a Customer shall be set out in the relevant order form, proposal, statement of work, service description, or separate written agreement between RTC and the Customer.

3. Right to Use RTC Suite

RTC grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use RTC Suite during the applicable subscription term, solely for the Customer’s internal business purposes and in accordance with these Terms and the applicable commercial agreement.

RTC Suite is licensed, not sold. No ownership rights in RTC Suite, its software, documentation, source code, object code, designs, databases, interfaces, workflows, configurations, algorithms, know-how, trademarks, or other intellectual property are transferred to the Customer.

Access may be granted to the Customer’s authorised users, affiliates, employees, representatives, or approved service providers, subject to RTC’s approval and the applicable agreement. Each user must access RTC Suite through individual credentials. Shared, generic, or unauthorised user accounts are not permitted unless expressly approved by RTC in writing.

4. Customer Responsibilities

The Customer is responsible for:

  • ensuring that RTC Suite and the selected services meet its business, legal, tax, accounting, technical, cybersecurity, and operational requirements;
  • providing accurate, complete, and timely data, documents, information, access, approvals, and cooperation required for RTC to perform the services;
  • ensuring that its systems, users, data, processes, and integrations are properly prepared for implementation and operation;
  • maintaining the confidentiality and security of user credentials;
  • promptly notifying RTC of any unauthorised access, suspected breach, malfunction, error, or support issue;
  • complying with all applicable laws, tax regulations, accounting obligations, export control rules, and technology control requirements;
  • verifying the accuracy and completeness of data submitted through RTC Suite.

Unless expressly agreed otherwise in writing, RTC does not provide legal, tax, audit, accounting, or financial advisory services. The Customer remains responsible for its own tax filings, statutory obligations, data accuracy, reporting decisions, and compliance determinations.

5. Restrictions on Use

The Customer shall not, and shall not permit any third party to:

  • copy, reproduce, modify, adapt, translate, merge, or create derivative works based on RTC Suite or its documentation;
  • reverse engineer, decompile, disassemble, decode, or attempt to derive the source code, architecture, algorithms, or underlying structure of RTC Suite;
  • rent, lease, lend, sell, resell, sublicense, distribute, assign, transfer, or otherwise make RTC Suite available to any unauthorised third party;
  • use RTC Suite for any unlawful, fraudulent, harmful, abusive, or unauthorised purpose;
  • interfere with or disrupt the integrity, security, availability, or performance of RTC Suite;
  • attempt to gain unauthorised access to RTC systems, accounts, infrastructure, data, or networks;
  • remove or alter any proprietary notices, trademarks, copyright notices, or ownership references;
  • publish performance benchmarks, qualification test results, or comparative analyses of RTC Suite without RTC’s prior written approval;
  • use RTC Suite to process data or transactions outside the agreed service scope, jurisdictional coverage, or authorised use case.

RTC may suspend access to RTC Suite if it reasonably believes that the Customer or its users have breached these Terms, created a security risk, misused the services, failed to pay undisputed amounts when due, or used RTC Suite in a manner that may expose RTC or other customers to liability or operational harm.

6. Fees and Payment

Fees, payment terms, invoicing dates, applicable taxes, subscription periods, transaction volumes, overage fees, setup fees, support fees, archiving fees, and other charges shall be set out in the applicable order form, proposal, statement of work, service description, or separate written agreement.

Unless expressly stated otherwise:

  • fees are exclusive of VAT, withholding tax, duties, levies, and other applicable taxes;
  • fees are non-refundable once invoiced or paid, except where expressly agreed in writing;
  • additional services, custom developments, changes in scope, integrations, or customer-specific requirements may be subject to additional fees;
  • unused transaction volumes, credits, or service entitlements may not be carried forward unless expressly agreed in writing;
  • late payment may result in suspension of services or termination in accordance with the applicable agreement.

7. Implementation and Custom Development

Where implementation, technical setup, integration, configuration, migration, testing, or go-live support is included in the Customer’s scope, RTC shall perform such services with reasonable care and skill and in accordance with the agreed service description.

Any customer-specific development, non-standard integration, additional enhancement, change request, custom field, special logic, local adaptation, or deviation from RTC’s standard functionality may require separate analysis, timeline, pricing, and written approval.

RTC shall not be responsible for delays, errors, failures, or additional costs caused by incomplete customer data, delayed approvals, unavailable systems, incorrect technical assumptions, third-party dependencies, tax authority availability, partner systems, or changes requested by the Customer.

8. Regulatory Updates and Maintenance

Where included in the subscription scope, RTC may provide maintenance services relating to supported regulatory changes, version upgrades, bug fixes, and product improvements.

RTC will use reasonable endeavours to reflect relevant supported tax authority updates within RTC Suite. However, regulatory requirements may change, be delayed, be interpreted differently, or depend on third-party systems, tax authority portals, local service providers, or government infrastructure.

RTC does not guarantee that the use of RTC Suite alone will ensure full legal, tax, accounting, audit, or regulatory compliance in every circumstance. The Customer remains responsible for obtaining its own professional advice where necessary.

9. Support

RTC may provide support services during the applicable support hours and through the support channels communicated to the Customer.

Support requests should include a clear description of the issue, relevant screenshots, transaction references, error messages, system details, start time of the incident, and any other information reasonably required by RTC to assess and resolve the issue.

RTC will use commercially reasonable efforts to investigate, respond to, and resolve support issues in accordance with the applicable service levels, where such service levels have been agreed in writing.

RTC shall not be responsible for issues caused by customer systems, third-party platforms, tax authority systems, internet connectivity, unauthorised modifications, incorrect data, unsupported usage, or matters outside RTC’s reasonable control.

10. Intellectual Property Rights

RTC and its licensors retain all rights, title, and interest in and to RTC Suite, including all software, source code, object code, interfaces, designs, workflows, databases, documentation, trademarks, logos, know-how, business processes, configurations, improvements, updates, and related intellectual property rights.

The Customer shall not acquire any ownership rights in RTC Suite or any RTC intellectual property by using the services, providing feedback, requesting customisations, or paying any fees.

The Customer grants RTC a limited right to process, use, and access Customer data solely to provide, maintain, support, secure, improve, and operate the services in accordance with these Terms and applicable data protection laws.

11. Customer Data

The Customer retains ownership of the data it submits to RTC Suite.

The Customer is responsible for ensuring that Customer data is accurate, lawful, complete, properly formatted, and suitable for processing through RTC Suite.

RTC may process Customer data as necessary to provide the services, perform support, maintain system integrity, comply with applicable law, prevent fraud or misuse, and fulfil contractual obligations.

Where archiving is included in the applicable service scope, RTC may retain electronic documents for the legally required or contractually agreed retention period, subject to applicable laws and the relevant agreement.

12. Data Processing

For the purposes of this clause, the terms controller, processor, data subject, personal data, personal data breach, and processing shall have the meaning given to them under applicable data protection laws, including the EU GDPR where applicable.

Both parties shall comply with all applicable requirements of applicable data protection laws. This clause is in addition to, and does not relieve, remove, or replace, a party’s obligations or rights under applicable data protection laws.

The parties acknowledge that, to the extent RTC processes personal data on behalf of the Customer in connection with the provision of RTC Suite and related services, RTC shall act as processor and the Customer shall act as controller, unless otherwise agreed in writing.

In relation to Customer personal data, RTC shall:

  • process Customer personal data only for the purposes of providing RTC Suite and related services under the applicable agreement;
  • implement appropriate technical and organisational measures designed to protect against unauthorised or unlawful processing of Customer personal data and against accidental loss, destruction, or damage;
  • ensure that personnel authorised to process Customer personal data have committed themselves to confidentiality or are under an appropriate statutory or contractual obligation of confidentiality;
  • notify the Customer without undue delay after becoming aware of a personal data breach involving Customer personal data;
  • at the written direction of the Customer, delete Customer personal data and copies thereof following termination of the applicable agreement, unless RTC is required by applicable laws to continue processing or retaining such data; and
  • maintain appropriate records to demonstrate compliance with this clause.

The scope, nature, purpose, duration, categories of data subjects, and types of personal data processed by RTC may be further described in the applicable agreement, statement of work, data processing agreement, privacy policy, or other contractual documentation.

13. Confidentiality

Each party may receive confidential information from the other party in connection with RTC Suite or the services.

Confidential information includes business, technical, financial, commercial, legal, tax, operational, product, customer, pricing, security, software, documentation, and other non-public information disclosed by one party to the other.

Each party shall keep the other party’s confidential information strictly confidential and shall not disclose it to any third party except:

  • to its employees, affiliates, advisers, subcontractors, or representatives who need to know it for the purpose of the services and are bound by confidentiality obligations;
  • where required by law, court order, tax authority, regulator, or government authority;
  • where the information is already lawfully known, publicly available, or independently developed without breach of confidentiality;
  • where the disclosing party has given prior written consent.

If either party is unsure whether information is confidential, it shall treat such information as confidential unless confirmed otherwise by the disclosing party.

14. Third-Party Services and Tax Authority Systems

RTC Suite may interact with third-party systems, government portals, tax authority platforms, Peppol networks, local service providers, last-mile partners, hosting providers, integration platforms, communication channels, or other external services.

RTC is not responsible for the availability, performance, delay, rejection, downtime, errors, policy changes, technical failures, or regulatory decisions of third-party systems or tax authority platforms, except to the extent expressly agreed in writing.

Where local partner or tax authority accreditation, registration, certification, or connectivity is required, service availability may depend on the relevant approval, system readiness, or third-party cooperation.

15. Warranties and Disclaimers

RTC shall perform the services with reasonable care and skill.

Except as expressly stated in these Terms or a separate written agreement, RTC Suite and the services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.

RTC does not warrant that:

  • RTC Suite will be uninterrupted, error-free, or available at all times;
  • all defects will be corrected within a specific timeframe unless agreed in a service level agreement;
  • RTC Suite will meet all customer-specific requirements;
  • RTC Suite will guarantee full tax, accounting, legal, regulatory, audit, or financial compliance in every jurisdiction or scenario;
  • third-party systems, tax authority platforms, or external networks will remain available or unchanged.

All implied warranties, conditions, representations, or terms are excluded to the fullest extent permitted by applicable law.

16. Limitation of Liability

The Customer acknowledges that RTC Suite has not been developed to meet the Customer’s individual requirements, including any particular cybersecurity requirements the Customer may be subject to under law or otherwise. It is therefore the Customer’s responsibility to ensure that the facilities and functions of RTC Suite, as described in the applicable documentation and service descriptions, meet the Customer’s requirements.

RTC supplies RTC Suite and related documentation for the Customer’s internal business use only, and the Customer agrees not to use RTC Suite or any related documentation for resale purposes unless expressly agreed in writing.

RTC shall not in any circumstances be liable to the Customer, whether in contract, tort, including negligence, breach of statutory duty, or otherwise, arising under or in connection with these Terms or the applicable agreement for:

  • loss of profits, sales, business, or revenue;
  • business interruption;
  • loss of anticipated savings;
  • wasted expenditure;
  • loss of business opportunity, goodwill, or reputation;
  • any special, indirect, or consequential loss, damage, charges, or expenses.

Other than the losses set out above, for which RTC is not liable, RTC’s maximum aggregate liability under or in connection with these Terms or the applicable agreement, whether in contract, tort, including negligence, or otherwise, shall in all circumstances be limited to a sum equal to 8% of the fees paid by the Customer within the last 12 months before the event giving rise to RTC’s liability.

This maximum cap shall not apply to liability that cannot be excluded or limited under applicable law, including:

  • death or personal injury resulting from negligence;
  • fraud or fraudulent misrepresentation;
  • any other liability that cannot be excluded or limited by applicable law.

These Terms set out the full extent of RTC’s obligations and liabilities in respect of the supply of RTC Suite and related services. Except as expressly stated in these Terms or the applicable agreement, there are no conditions, warranties, representations, or other terms, express or implied, that are binding on RTC. Any condition, warranty, representation, or other term concerning the supply of the services which might otherwise be implied into, or incorporated in, these Terms whether by statute, common law, or otherwise, is excluded to the fullest extent permitted by law.

17. Force Majeure

RTC shall not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under these Terms or the applicable agreement that is caused by events outside RTC’s reasonable control.

An event outside RTC’s reasonable control includes, without limitation:

  • failure of public or private telecommunications networks;
  • internet outages or hosting provider failures;
  • tax authority, government portal, or third-party system downtime;
  • cyber incidents not caused by RTC’s breach of these Terms;
  • acts of government, regulatory changes, sanctions, war, terrorism, civil unrest, strikes, natural disasters, pandemics, or similar events.

If such an event occurs, RTC’s obligations shall be suspended and the time for performance shall be extended for the duration of the event. RTC shall use reasonable endeavours to find a solution by which its obligations may be performed despite the event outside its reasonable control.

18. Suspension and Termination

RTC may suspend or terminate access to RTC Suite where:

  • the Customer fails to pay undisputed fees when due;
  • the Customer materially breaches these Terms or any applicable agreement;
  • the Customer uses RTC Suite unlawfully or outside the agreed scope;
  • RTC reasonably believes continued access may create a security, legal, regulatory, operational, or reputational risk;
  • required third-party, tax authority, or local partner access is withdrawn, suspended, or unavailable;
  • the applicable subscription or agreement expires or is terminated.

Upon termination:

  • the Customer’s right to access and use RTC Suite shall cease;
  • the Customer must stop all use of RTC Suite and related documentation;
  • outstanding fees shall become payable in accordance with the applicable agreement;
  • each party shall return or delete confidential information where required, subject to legal or regulatory retention obligations;
  • provisions relating to intellectual property, confidentiality, data protection, payment, liability, governing law, and dispute resolution shall survive termination.

19. Changes to These Terms

RTC may update these Terms from time to time to reflect changes in its services, legal requirements, regulatory environment, business practices, or technical operations.

The updated version will be made available on RTC’s website or otherwise communicated to Customers. Continued use of RTC Suite after the effective date of updated Terms constitutes acceptance of the revised Terms, unless otherwise required by applicable law or agreed in writing.

Where the Customer has entered into a separate signed agreement with RTC, the terms of that signed agreement shall prevail over these website Terms in the event of conflict.

20. Assignment

The Customer may not assign, transfer, subcontract, or delegate any rights or obligations under these Terms without RTC’s prior written consent.

RTC may assign or transfer its rights and obligations to an affiliate, successor, acquirer, or in connection with a merger, restructuring, sale of assets, or corporate transaction, provided that such assignment does not materially reduce the Customer’s rights under the applicable agreement.

21. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable. The invalid or unenforceable provision shall be replaced or interpreted in a manner that most closely reflects its intended commercial and legal purpose.

22. No Waiver

A failure or delay by either party to enforce any right or remedy under these Terms shall not constitute a waiver of that right or remedy. A waiver shall only be effective if made in writing.

23. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the Republic of Ireland.

Any dispute arising out of or in connection with these Terms shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one arbitrator appointed in accordance with those Rules.

The seat of arbitration shall be Dublin, Ireland. The language of the arbitration shall be English.
